Terms of Service

Welcome to Limere. These Terms of Service (the "Terms") are an agreement between you and Reserve Labs ("Reserve Labs"), No. 421, Songshan Rd., Xinyi Dist., Taipei City 110, Taiwan. As used in these Terms, the terms "we," "us" and "our" refer to Reserve Labs.

By accessing or using our Service through the Limere mobile application (the "App"), the limere.app website (the "Website") or any other platforms or services Reserve Labs may offer in connection with Limere (collectively, the "Service"), you agree to, and are bound by, these Terms. These Terms apply to anyone who accesses or uses the Service, regardless of registration status. The "Privacy Policy" means our Limere Privacy Policy, and "Your Content" is defined in Section 3.1.

By accessing or using the Service, you agree to be bound by these Terms, including our Privacy Policy. Please read these Terms and the Privacy Policy carefully before you create an account. You may open and read both documents before you sign in or create an account. By signing in, creating an account or continuing to use the Service, you accept the versions of these Terms and the Privacy Policy in effect at that time. The sign-in button is the only primary action in the App, and the App does not present a separate "I agree" checkbox, toggle or confirmation window. If you do not wish to be bound by these Terms, do not access or use the Service.

The Service is an early-stage product that is still being developed. Its features may change and some features may not work properly, and these Terms will be revised as the product and the company develop.

These Terms may change from time to time. Notice of material changes will be posted on this page with the version number, an updated effective date and a summary of the changes, and earlier versions are kept in a publicly readable archive. We may also notify you of a change to these Terms by email or other means. To the maximum extent permitted by applicable law, your continued sign-in, access or use of the Service after the effective date of a change constitutes your consent to that change, and you will be legally bound by the updated Terms. Where the law requires another form of consent for a change, we will follow the law. If you do not accept a change to these Terms, you must stop accessing or using the Service immediately.

Limere is only for people who are at least 18 years old and have reached the age of majority where they live, whichever is higher. We may confirm your age by reasonable means, and anyone whose age cannot be confirmed may not use Limere.

You are not authorized to create an account or use the Service unless all of the following are true, and by using the Service, you represent and warrant that:

• You meet the age requirement in the paragraph above;
• You are legally qualified to enter a binding contract with Reserve Labs;
• You are not prohibited by law from using the Service; and
• You have not previously been removed from the Service by us, unless you have our express permission to create a new account.

If at any time you cease to meet these requirements, all authorization to access the Service is automatically revoked. If we reasonably believe that an account belongs to a minor or violates applicable law, we may restrict or terminate its access to the Service.

You agree to:

• Comply with these Terms and all applicable laws;
• Provide accurate information, and not impersonate any other person or create an account for anyone else;
• Treat other users in a courteous and respectful manner, both on and off the Service;
• Take reasonable measures to protect the security of your account and login information, and be responsible for all activity under your account; and
• Notify us immediately at hello@rsrvlabs.com if you suspect unauthorized use of your account.

The purpose of the Service is to help people meet in real life, and you may not use it for the opposite purpose. You agree that you will not:

• Harass, bully, stalk, intimidate, threaten, assault, attack with hateful conduct or otherwise mistreat any person;
• Impersonate any person, or misrepresent your identity, age or intentions;
• Defraud or extort any person, or solicit money or other items of value from another user, whether as a gift, loan or form of compensation;
• Use the Service to sell goods or services to others;
• Distribute intimate images, or take another person's photos, messages or identity outside the Service and publish them without that person's consent;
• Use another user's account, or sell, rent, transfer or share your account with another person;
• Use automated means to create accounts in bulk;
• Circumvent blocking or reporting features, submit a report about a user's behavior or content that is false, misleading or otherwise manifestly unfounded, or abuse any reporting feature of the Service;
• Use any robot, crawler or other manual or automatic device, method or process to access, retrieve or scrape the Service or its contents;
• Reverse engineer, decipher, decompile or otherwise disassemble any portion of the Service, or attack, interfere with or disrupt the Service or the systems behind it;
• Use the Service where local law prohibits you from using such services; or
• Create a new account after we suspend or terminate your account, unless you receive our express permission.

Any authorization to access the Service under these Terms is automatically revoked in the event that you do any of the above.

You may not upload or share content that:

• Could reasonably be deemed to be offensive or to harass, upset, embarrass or alarm any other person;
• Is obscene, pornographic or violent, or contains nudity;
• Is abusive, insulting, threatening or discriminatory, or promotes or encourages racism, sexism, hatred or bigotry;
• Is illegal or encourages or facilitates any illegal activity;
• Is defamatory, libelous or untrue;
• Relates to commercial activities (including, without limitation, sales, solicitation for services, promotions and advertising);
• You do not have the right to use, or that infringes upon any third party's rights (including, without limitation, intellectual property rights and privacy rights);
• Includes the image or likeness of another person without that person's consent; or
• Includes an image or likeness of a minor who is not fully clothed, or otherwise depicts or implies a minor engaged in sexual activity.

Uploading or sharing content that violates these Terms ("Prohibited Content") may result in the immediate suspension or termination of your account.

The content you upload or provide while using the Service, including your profile, photos and messages, is referred to as "Your Content."

You are responsible for Your Content. Do not share anything that you would not want others to see, that would violate these Terms, or that may expose you or us to legal liability.

You represent and warrant to us that the information you provide to us or any other user is accurate, and that you have all the rights and permissions necessary to upload Your Content. You understand and agree that Your Content may be visible to other users according to your privacy settings. If you choose to reveal any personal information about yourself to other users, you do so at your own risk.

You keep your rights to Your Content. You authorize Reserve Labs to store, process, display and transmit Your Content to the extent necessary to provide, protect and improve the Service, for example to show your profile to people you cross paths with or to deliver your messages to the users you choose. We do not sell Your Content.

We are committed to maintaining a positive and respectful community, and we do not tolerate any inappropriate content or misconduct, whether on or off the Service. We rely on user reports for what we cannot see. We encourage you to report any inappropriate content or misconduct by other users, and you can block and report a user directly in the App.

Blocking is permanent. Once you block a user, neither of you can message the other, any existing match is removed immediately, and you cannot unblock that user in the Service.

We review every report within 48 hours. If a report is upheld, we remove the relevant content, and we suspend or terminate accounts for repeated or serious violations. We may also remove content, restrict features, or suspend or terminate accounts based on the evidence in a report, the safety of the Service and the seriousness of the violation. We do not guarantee that any action will be immediate, and an action does not represent a legal determination about any person.

If the same account is reported by several different users within a period of time, the system automatically restricts that account's visibility in Explore and Nearby. This automatic restriction may be lifted after human review.

To protect reporters and preserve the integrity of cases, safety and audit data may be retained under the Privacy Policy, and is not deleted when the reported user deletes their account. You understand and agree that we may not share information with you regarding your account if doing so would potentially impair the safety or privacy of other users.

You can stop using the Service at any time, or delete your account directly in the App. Once deleted, your account is deactivated immediately and other users can no longer see you. We delete the rest of your data within a reasonable period, except data we must keep under the Privacy Policy.

If you are hosting an activity that has not ended (including one that has not started), you must end or leave it before you can delete your account, so that the activity is not left without a host and unable to end. This does not apply if you only take part in another user's activity.

Reserve Labs reserves the right to review and, if appropriate, suspend, terminate or ban your account if we believe that you have violated these Terms, misused the Service, or behaved in a way that is inappropriate or unlawful, on or off the Service.

If your account is terminated by you or by us for any reason, these Terms continue and remain enforceable between you and Reserve Labs. Your information will be retained and deleted in accordance with the Privacy Policy. Messages already delivered may remain, shown as from a "Deleted user," and reports and necessary safety evidence may be kept as required by law or for legitimate safety purposes.

The Service helps you discover people you crossed paths with at real-world activities or places, view the profiles that their privacy settings allow you to see, and interact with them where the Service's connection rules allow. Your device permissions and settings, network conditions, operating system limitations or the other person's settings may all affect the results. The Service only shows who you crossed paths with, and any interaction after that is for you and the other person to decide.

We may modify, suspend or discontinue any part of the Service's features.

RESERVE LABS PROVIDES THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SERVICE (INCLUDING ALL CONTENT CONTAINED IN IT), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. RESERVE LABS DOES NOT REPRESENT OR WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, (B) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE DISCOVERED OR CORRECTED, OR (C) ANY CONTENT OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, CURRENT OR APPROPRIATE FOR YOUR PURPOSES.

FURTHERMORE, RESERVE LABS MAKES NO GUARANTEES AS TO THE NUMBER OF ACTIVE USERS AT ANY TIME, USERS' ABILITY OR DESIRE TO COMMUNICATE WITH OR MEET YOU, OR THE ULTIMATE COMPATIBILITY OR CONDUCT OF USERS YOU MEET THROUGH THE SERVICE, AND WE DO NOT GUARANTEE THAT YOU WILL FIND ANY PARTICULAR PERSON, BE MATCHED OR FORM A RELATIONSHIP.

RESERVE LABS ASSUMES NO RESPONSIBILITY FOR ANY CONTENT THAT YOU OR ANOTHER USER OR THIRD PARTY POSTS, SENDS, RECEIVES AND/OR ACTS ON THROUGH THE SERVICE, NOR DOES RESERVE LABS ASSUME ANY RESPONSIBILITY FOR THE IDENTITY, INTENTIONS, LEGITIMACY, CONDUCT OR VERACITY OF ANY USERS WITH WHOM YOU MAY COMMUNICATE THROUGH THE SERVICE, ON OR OFF THE SERVICE.

These Terms are governed by the laws of the Republic of China (Taiwan), without affecting any consumer rights that cannot be excluded by law.

If any provision of these Terms is held invalid, illegal or otherwise unenforceable, the remainder of these Terms shall continue in full force and effect. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Your account is non-transferable. Any rights and licenses granted to you under these Terms may not be transferred or assigned by you, but may be assigned by us without restriction.
